Terms of service
Effective date: 7 October 2026
These terms are an agreement between your business ("you") and Cobalt Software LLC ("we", "us"), an Arizona company that runs Tayvo. They cover your use of tayvo.app and the Tayvo app. By creating a workspace or using Tayvo, you agree to them. If you agree on behalf of a business, you confirm you can bind that business. Our Privacy Policy explains how we handle data.
1. Who can use Tayvo
Tayvo is for businesses, mainly design, branding and web studios. You must be at least 18 and use Tayvo for business purposes.
2. The private beta
- Tayvo is in private beta. During the beta, Tayvo is free.
- Features can change, be added or be removed while we build.
- Before paid plans start, we will email you the prices and terms at least 30 days ahead. You can then choose a plan or leave and take your data with you (section 13).
- We may end the beta or your beta access with 30 days' email notice, or sooner if section 12 applies.
3. Your account
- Team members and clients sign in with an emailed link or a 6-digit code. Keep access to your email account secure, because anyone who controls the inbox can sign in.
- You decide who joins your workspace and which clients get portal access. You are responsible for what happens under your workspace.
- Tell us right away at justin@tayvo.app if you think someone got into your account.
4. Your content and your clients' data
- You own the content you and your clients put into Tayvo: client details, projects, files, messages, proposals, invoices and your brand assets.
- You give us permission to host, store, copy, display and process that content only as needed to run Tayvo for you, keep it secure and meet the law.
- You are responsible for your content and for having the rights, permissions and notices your clients need, including telling your clients that you use Tayvo and giving them your own privacy notice.
- For your clients' personal data, you are the controller and we process it on your instructions. Our data processing agreement at tayvo.app/dpa is part of these terms.
- Do not upload payment card numbers, government ID numbers or health records to Tayvo outside the payment flow.
5. Acceptable use
You agree not to:
- break the law, or help anyone else break it;
- send spam or messages people did not ask for;
- upload malware, or content that infringes someone's rights or is abusive, harassing or illegal;
- try to get into accounts or data that are not yours, test or probe Tayvo's security without our written permission, or overload the service;
- copy, resell or reverse engineer Tayvo, except where the law allows it.
We may remove content or limit access that breaks these rules.
6. Payments between you and your clients
- Card payments run through Stripe Connect on your own Stripe account. You are the merchant of record for every payment your clients make.
- We are not a party to your agreements or payments with your clients. Prices, refunds, chargebacks, disputes, taxes and receipts are between you and your client.
- Stripe's terms, including the Stripe Connected Account Agreement, apply to your Stripe account. Stripe charges its own processing fees.
- Tayvo charges no fee on client payments today. If that changes, we will email you at least 30 days before any fee applies.
7. Fees for Tayvo
Tayvo is free during the beta. Paid plans, when they start, follow section 2. Fees will not be added to your account without that notice.
8. Our property and your feedback
- Tayvo, its software, design and brand belong to us. These terms give you the right to use Tayvo while your account is active; they do not transfer ownership.
- If you send ideas or feedback, we may use them without owing you anything. Your own content stays yours.
9. Other services
Tayvo connects to services run by others, such as Stripe, Google, Microsoft and booking tools you link. When the Claude and ChatGPT connector becomes available, it will work the same way. Those services have their own terms, and we are not responsible for them.
10. Availability
Tayvo is in beta. We work to keep it running, but we do not promise it will always be available, error free or fast, and there is no service level agreement during the beta. Keep your own copies of files that matter to you.
11. Disclaimers
Tayvo is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
12. Suspension
We may suspend or limit your access, with notice where we can give it, if you break these terms, if your use puts Tayvo, other customers or the public at risk, if payment is overdue once paid plans exist, or if the law requires it.
13. Ending your account and your data
- You can close your account at any time by emailing justin@tayvo.app.
- When your account ends, for any reason, you can ask for an export of your workspace data in a common file format. During the beta we prepare exports by hand and send them within 30 days of your request.
- We delete your workspace data 90 days after your account ends, except records we must keep by law. Deleted data can remain in database history for up to 30 days, then is gone.
14. Limitation of liability
To the extent the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill;
- our total liability for any claim about Tayvo is limited to the greater of the amount you paid us for Tayvo in the 12 months before the claim and 100 US dollars.
15. Indemnity
You will defend and indemnify Cobalt Software LLC against claims, losses and costs (including reasonable legal fees) that come from your content, your dealings with your clients, or your breach of these terms or the law.
16. Law and courts
Arizona law governs these terms, without regard to conflict of laws rules. Any dispute goes to the state or federal courts located in Maricopa County, Arizona, and both of us agree to those courts.
17. Changes to these terms
We may update these terms. We will change the effective date above and, for significant changes, email you at least 30 days before they apply. Using Tayvo after that date means you accept the new terms.
18. General
These terms, the Data Processing Agreement and the Privacy Policy are the whole agreement about Tayvo. If a part is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver. You may not transfer these terms without our written consent; we may transfer them as part of a merger or sale of the business. We send notices to the email on your account.
